These Terms of Service ("Terms") constitute a binding legal agreement between you, the user ("User" or "you"), and zIntercept ("Company," "we," "us," or "our"), governing your access to and use of zIntercept, including but not limited to our AI tutoring services, the zConnex forum, and any other affiliated platforms, applications, websites, or services provided or operated by zIntercept (collectively, the "Services"). By registering an account, accessing, or using any part of the Services, you expressly acknowledge, agree, and accept these Terms in their entirety. You further acknowledge that failure to comply with these Terms may result in suspension, termination, or legal action.
For purposes of these Terms, the following definitions shall apply unless the context otherwise requires: "Account" refers to a registered user profile created to access the Services; "Content" includes any text, images, audio, video, or other materials uploaded, posted, or transmitted via the Services; "AI Tutor" refers to the artificial intelligence educational assistance system integrated into the Services; "zConnex" refers to the forum platform allowing user-to-user interaction; "User Data" refers to all data, information, and content provided by or generated by the User through use of the Services. The headings in these Terms are for convenience only and shall not affect interpretation.
Where any term is used in singular, it shall be construed as plural where the context permits and vice versa. References to laws, statutes, or regulations shall include amendments, re-enactments, or replacements thereof.
Users must register for an Account to access the Services. Registration requires provision of a valid email address and creation of a password. Passwords are hashed using industry-standard cryptographic techniques; zIntercept has no access to plaintext passwords. Users are solely responsible for maintaining the confidentiality of their login credentials and for all activity conducted under their Account, whether authorized or unauthorized. Users must immediately notify zIntercept at sjp2ai@gmail.com of any suspected or actual unauthorized access or breach of Account security.
By creating an Account, users represent and warrant that they are at least thirteen (13) years of age or meet the minimum age required under applicable law, possess full legal capacity to enter into these Terms, and agree to comply fully with all provisions herein. Providing false, misleading, or incomplete information during registration or subsequently is strictly prohibited and may result in immediate termination of your Account and legal recourse.
The AI Tutor is provided solely for educational guidance. It generates advice, suggestions, and educational support without delivering direct answers to assignments, examinations, or assessments. Users shall not use the AI Tutor to circumvent academic integrity policies, engage in cheating, plagiarism, or any form of misconduct. Misuse of the AI Tutor constitutes a material violation of these Terms and may result in suspension, termination, or other remedies at the sole discretion of zIntercept.
Users acknowledge that the AI Tutor operates algorithmically and may not always produce complete, accurate, or contextually appropriate guidance. zIntercept disclaims all liability for any outcomes, academic, professional, or otherwise, resulting from reliance on AI Tutor interactions. Users assume all risks related to AI-generated guidance and shall hold zIntercept harmless for any errors, omissions, or inaccuracies.
zConnex is a forum enabling user-to-user interaction, information sharing, and advice seeking. Users agree to conduct themselves in accordance with community standards and applicable laws. Posting illegal, defamatory, harassing, threatening, offensive, obscene, or otherwise objectionable Content is strictly prohibited. Users are responsible for all Content they post and may be subject to suspension, termination, or legal action for violations.
zIntercept reserves the right, but is not obligated, to monitor, review, edit, or remove any User-generated Content. zIntercept disclaims any liability for Content posted by users, including but not limited to third-party advice, opinions, errors, or inaccuracies. Users agree to indemnify, defend, and hold harmless zIntercept from any claims, damages, or liabilities arising out of Content they post or their interactions on zConnex.
Users shall comply with all applicable local, provincial, federal, and international laws while using the Services. Users may not: (a) attempt to gain unauthorized access to zIntercept systems or other Accounts, (b) disrupt, interfere with, or bypass security mechanisms, (c) transmit malicious software, viruses, or spam, (d) impersonate any person or entity, or (e) exploit the Services for commercial purposes without prior written consent.
Failure to adhere to these obligations may result in immediate Account suspension or termination, and zIntercept reserves all rights to pursue civil or criminal remedies where appropriate. Users agree to cooperate fully with investigations of suspected breaches or misconduct.
All Services, Content, software, graphics, designs, logos, and other materials provided by zIntercept are protected by Canadian and international intellectual property laws. Users are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes only. Users shall not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any zIntercept intellectual property without prior written consent.
zIntercept collects and processes User Data in accordance with applicable laws and our Privacy Policy. Users consent to collection, storage, and use of personal information for purposes including account management, AI Tutor operations, forum interactions, system analytics, and communication. zIntercept implements industry-standard technical and administrative safeguards to protect User Data, including hashed passwords and secure transmission protocols. Despite these measures, Users acknowledge that no system is entirely secure, and zIntercept cannot guarantee absolute protection.
To the fullest extent permitted by law, zIntercept, its affiliates, officers, employees, and licensors shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from use or inability to use the Services. Users agree to indemnify, defend, and hold harmless zIntercept from any claims, liabilities, damages, or expenses arising from: (a) their use of the Services, (b) their Content or interactions on zConnex, or (c) violations of these Terms.
zIntercept reserves the right to suspend or terminate Accounts at its sole discretion for violations of these Terms, unlawful activity, or conduct deemed harmful to the Services or other users. Termination does not release Users from accrued obligations or liabilities. Users may voluntarily terminate their Account by contacting sjp2ai@gmail.com. Upon termination, all licenses and rights granted herein immediately cease.
zIntercept may update or modify these Terms at any time. Revised Terms will be posted on this page, and continued use of the Services constitutes acceptance of the updated Terms. Users are responsible for reviewing Terms periodically to ensure awareness of any modifications.
These Terms shall be governed by and construed under the federal laws of Canada, without regard to conflict of law provisions. Users submit to the exclusive jurisdiction of the courts located in Canada for any disputes arising out of or relating to the Services or these Terms. Users agree to resolve disputes initially through informal negotiation or mediation where feasible prior to pursuing legal action.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. Waiver of any provision by zIntercept does not constitute a waiver of any other provision or subsequent violation. These Terms, together with the Privacy Policy, constitute the entire agreement between Users and zIntercept regarding the Services.
